Welcome to theaistudio.co.nz, operated by The AI Studio Ltd, a New Zealand-registered company (“we”, “us”, “our”). By accessing our website or engaging our services, you agree to the Terms and Conditions below. If you do not accept any part of these terms, please refrain from using this website or our services.

1. Website Use Terms

1.1 Acceptance of Terms

By accessing or using this website, you agree to comply with these Terms and all applicable laws and regulations.

1.2 Intellectual Property

All website content—including designs, code, graphics, logos, videos, images, and written materials—is owned by The AI Studio Ltd or licensed to us.
You may not copy, reproduce, modify, resell, or use any content for commercial purposes without written consent.

1.3 Cookies

This website uses cookies for personalisation, analytics, and embedded third-party tools. By using the website, you consent to our cookie usage.

2. Service Engagement Terms

These terms apply to all service, automation, AI, advertising, consulting, and digital marketing engagements with The AI Studio Ltd.

2.1 Scope of Services

We offer professional services including (but not limited to):

AI Voice Agents & Conversational Automations
Workflow automation
CRM and calendar integrations
Advertising campaign management (Meta & Google)
Reporting and analytics
API/webhook automation
Digital strategy consulting
Creative production

Each engagement is governed by a separate written agreement, proposal, or monthly package.

2.2 Data Privacy & Security

We comply with:

Privacy Act 2020 (NZ)
Fair Trading Act 1986 (NZ)
Industry best practices for encryption and access control

All client data is encrypted in transit and at rest. Only authorised personnel can access your account.
We do not store payment card details.

2.3 Payment Terms

Unless stated otherwise in a separate contract:

Monthly service fees are invoiced on the 28th of each month
Payment is due within 7 days
Usage-based AI fees may apply (e.g., per-minute call costs)
Additional work outside scope is billed at agreed rates

2.3.1 Late Fees

Invoices overdue by more than 7 days incur:

3% late fee per month (compounding)

Invoices overdue by more than 30 days:

May result in suspension of services
May be referred to a debt collection agency

2.3.2 Collection & Legal Fees

If an invoice is referred for collection, the Client agrees to pay:

Debt collection agency fees
Solicitor/client legal costs
Court filing and enforcement fees

2.4 Support, Turnarounds & Revisions

Turnaround times must follow the timelines in your individual agreement
Briefs and required materials must be provided on time
Quick-turnaround changes may incur additional fees
Free fine-tuning for the first 30 days post-launch for AI/automation projects

3. Confidentiality & Intellectual Property

3.1 Client Confidentiality

All business, customer, and operational information shared with us is confidential for 5 years from project completion.

3.2 Intellectual Property

You own your brand assets, customer data, business records, and supplied materials
The AI Studio Ltd retains ownership of:
- automation workflows
- scripts
- templates
- AI prompt engineering
- internal systems
- proprietary creative processes

You may not resell, duplicate, or reverse engineer our systems without permission.

4. Termination

Unless stated otherwise in your service agreement:

Either party may terminate with 30 days’ written notice
Services may be suspended or cancelled immediately if:
- payments are overdue
- confidentiality is breached
- intellectual property is misused
- unlawful activity occurs

Upon termination:

All outstanding fees must be paid
We will return or permanently delete your data upon request

5. Limitation of Liability

To the maximum extent permitted by NZ law, The AI Studio Ltd is not liable for:

Indirect or consequential damages
Loss of profits, revenue, or business interruption
AI errors caused by third-party data, client-provided content, or integration limitations
Performance fluctuations due to platform algorithms, economic conditions, or external systems

Our total liability is limited to one month of fees paid.

6. Governing Law & Dispute Resolution

These Terms are governed by New Zealand law.
In the event of a dispute, parties agree to:

Attempt good-faith negotiation
Proceed to binding arbitration in New Zealand if unresolved

7. Amendments

We may amend these Terms at any time by updating this page.
Continued use of our services constitutes acceptance of the updated Terms.
