1. Website Use Terms

1.1 Acceptance of Terms

By accessing or using this site, you agree to comply with these Terms and all applicable laws and regulations.

1.2 Intellectual Property

All content on this website—including designs, software, code, graphics, logos, and written materials—is the property of The AI Studio Ltd or its licensors. You may not copy, modify, redistribute, or use any of our content for commercial purposes without prior written permission.

1.3 Cookies

Our website uses cookies to personalize your experience and gather analytics. By using our site, you consent to our use of cookies, including third-party cookies used for embedded services like video players and integrations.

2. Service Engagement Terms

These terms apply when entering a business or service relationship with The AI Studio Ltd.

2.1 Scope of Services

We offer custom AI solutions including:

  • AI Voice Agents
  • Workflow automation
  • CRM and calendar integrations
  • Campaign automation
  • API/webhook development
  • Analytics and reporting

Each client engagement is defined via a separate written agreement or proposal.

2.2 Data Privacy & Security

We comply with:

  • Privacy Act 2020 (NZ)
  • Fair Trading Act 1986 (NZ)
  • Industry best practices for encryption and access control

All client data is encrypted in transit and at rest. Only authorized personnel can access your data. We do not store payment credentials or sensitive billing data.

2.3 Payment Terms

Unless otherwise stated in a separate agreement:

  • Usage-based fees apply (e.g. $0.42 NZD per AI call minute)
  • Monthly subscription/management fees apply per your selected plan
  • Invoices are issued on the 1st of each month and are due within 14 days
  • Payments may be made via bank transfer, PayPal, or credit card
  • Overdue invoices exceeding 30 days will incur a 5% late fee per month

Collection & Legal Fees
If payment remains outstanding and is referred for collection, you agree to cover all reasonable costs incurred, including:

  • Debt collection agency fees
  • Solicitor/client legal costs
  • Court filing and enforcement fees

Service may be suspended for non-payment beyond 30 days.

2.4 Support & Revisions

  • The first 30 days post-launch includes free fine-tuning
  • Any ongoing changes or optimisations after that period may incur additional charges
  • Support reporting frequency (weekly, bi-weekly, monthly) is agreed on a per-client basis

3. Confidentiality & Intellectual Property

3.1 Client Confidentiality

All proprietary business, customer, or operational information provided to us is confidential and will not be disclosed, reused, or resold. This obligation remains in effect for 5 years from the project’s completion.

3.2 Intellectual Property

  • You retain ownership of your brand, customer data, and business records
  • We retain ownership of all workflows, scripts, templates, and proprietary automation developed under our name unless otherwise stated in writing
  • Unauthorized use or resale of our systems is strictly prohibited

4. Termination

Either party may terminate service with 30 days’ written notice.

The AI Studio Ltd reserves the right to:

  • Suspend or terminate services in the case of overdue payments
  • Cancel services if you breach confidentiality, IP, or security policies
  • Terminate immediately if any use of our services violates New Zealand law

Upon termination:

  • All outstanding fees are immediately due
  • We will return or permanently delete your data upon request

5. Limitation of Liability

To the maximum extent permitted by law, The AI Studio Ltd will not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or business interruption
  • Inaccuracies in AI-generated output due to user error or third-party data

AI performance may vary depending on system use, client input, and integration limitations.

6. Governing Law & Dispute Resolution

This agreement is governed by the laws of New Zealand.

Disputes will first be resolved through good faith negotiation. If unresolved:

  • Parties agree to binding arbitration within New Zealand before any legal proceedings are initiated

7. Amendments

We reserve the right to revise these Terms and Conditions at any time. Changes will be published on this page and take effect immediately. Continued use of our services implies acceptance of the latest version.
